These Terms and Conditions ("Terms") govern your use of the websites, services, and communications provided by Alvi Global Enterprises ("AGE," "we," "us," or "our"), including all subsidiary brands: Orions Technology, DIGIMO, Octa, Prime Reach Publishers, Kronos Global Consulting, and AGE Marketing.
By accessing or using any AGE website, service, or communication channel, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our websites or services.
1. Definitions
In these Terms:
- "Services" means all products, services, websites, applications, platforms, and communication channels provided by AGE and its brands
- "User," "you," or "your" refers to any individual or entity accessing or using our Services
- "Content" means all text, images, data, software, code, designs, documents, and other materials made available through our Services
- "Client" means any individual or entity that engages AGE or any of its brands for the provision of professional services under a separate service agreement
- "Partner" means any agency, staffing firm, consultancy, enterprise, or other business that enters into a partnership arrangement with AGE
2. Our Services
AGE is a multi-brand technology holding company registered in the United Kingdom (AGE UK Ltd), the United States (AGE US LLC), and Pakistan. AGE provides technology services through its specialized brands including:
- Custom software development, AI/ML, mobile development, and enterprise engineering (Orions Technology)
- Digital presence services, web development, UI/UX design, and e-commerce (DIGIMO)
- AI-powered SaaS products including voice agents (Octa)
- Book publishing and content services (Prime Reach Publishers)
- International business setup and consulting (Kronos Global Consulting)
- White-label marketing execution services (AGE Marketing)
Specific services are governed by individual service agreements, statements of work, or engagement letters between AGE (or the applicable brand) and the Client or Partner. These Terms supplement but do not replace any such agreements.
3. Website Use
3.1 Permitted Use
You may use our websites for lawful purposes only. You agree not to:
- Use our websites in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of our websites, servers, or systems
- Introduce viruses, malware, or other harmful code
- Scrape, data-mine, or collect information from our websites using automated tools without our prior written consent
- Impersonate AGE, any AGE employee, or any other person or entity
- Interfere with or disrupt the operation of our websites or services
- Use our websites to transmit unsolicited commercial communications
3.2 Account Registration
Where our services require account registration, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
4. Communications and Consent
4.1 General Communications
By providing your contact information to AGE, you consent to receiving communications from us related to our services, including service updates, project communications, invoices, and administrative notices. These transactional communications are necessary for the performance of our services and are not subject to opt-out.
4.2 Marketing Communications
With your express consent, we may send you marketing communications, promotional offers, newsletters, and information about our services and brands. You may opt out of marketing communications at any time by:
- Clicking the "unsubscribe" link in any marketing email
- Replying STOP to any marketing SMS/MMS message
- Contacting us at info@alviglobal.com
4.3 SMS/MMS Communications
- Consent: Your opt-in to receive SMS/MMS messages constitutes your express written consent under applicable law, including the Telephone Consumer Protection Act (TCPA). You consent to receive recurring automated text messages from AGE at the phone number you provide.
- Message Content: Messages may include service notifications, appointment reminders, project updates, promotional offers, and other business communications related to AGE services.
- Message Frequency: Message frequency varies based on your engagement with our services. We will not send more than 50 messages per originating number per minute.
- Costs: Message and data rates may apply depending on your mobile carrier plan. AGE is not responsible for any charges imposed by your mobile carrier.
- Opt-Out: Reply STOP to any message to opt out of SMS/MMS communications. You will receive a confirmation message and no further messages will be sent unless you re-subscribe.
- Help: Reply HELP to any message for assistance or contact us at info@alviglobal.com or +1 737 342 3299.
- No Sharing: Your phone number and SMS opt-in data will not be sold, rented, or shared with third parties or affiliates for their own marketing purposes.
- Carriers: Mobile carriers including but not limited to AT&T, T-Mobile, Verizon, and Sprint are not liable for delayed or undelivered messages.
- Compatibility: SMS/MMS services may not be available on all carriers or in all areas. Check with your carrier for details.
4.4 Phone Communications and Call Recording
AGE may record phone calls for quality assurance, training, and compliance purposes. Where required by applicable law, we will inform you at the beginning of a call that the call may be recorded. By continuing the call after receiving such notice, you consent to the recording. If you do not consent to recording, you may request that the call not be recorded or disconnect the call.
4.5 AI-Powered Communications
Some of our brands, particularly Octa, use AI-powered voice agents and automated communication systems. Where AI-powered systems are used for communications, we will disclose this to you where required by applicable law. AI-powered communications are subject to the same privacy protections as human-operated communications as described in our Privacy Policy.
5. Intellectual Property
5.1 Our Intellectual Property
All content on our websites, including text, graphics, logos, images, software, and design elements, is the property of AGE or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
5.2 Trademarks
AGE, Alvi Global Enterprises, Orions Technology, DIGIMO, Octa, Prime Reach Publishers, Kronos Global Consulting, AGE Marketing, and their respective logos are trademarks or registered trademarks of Alvi Global Enterprises. Use of these trademarks without our prior written authorization is prohibited.
5.3 Client Work Product
Intellectual property rights in work product created by AGE for Clients under service agreements are governed by the terms of the applicable service agreement, statement of work, or engagement letter. These Terms do not modify any intellectual property provisions in individual client agreements.
6. Confidentiality
We treat all information shared with us by Clients and Partners as confidential unless otherwise agreed or unless the information is publicly available. Specific confidentiality obligations are governed by individual service agreements, non-disclosure agreements, or partnership agreements between AGE and the relevant party.
7. Service Agreements
Professional services provided by AGE and its brands are governed by separate service agreements, which may include master service agreements (MSAs), statements of work (SOWs), engagement letters, or other contractual documents. These Terms provide a general framework and are supplemented by the specific terms of each service agreement.
In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail to the extent of the conflict.
8. Acceptable Use Policy
When using any AGE service or communication channel, you agree not to:
- Use our services for any unlawful, harmful, or fraudulent purpose
- Transmit spam, unsolicited communications, or bulk messages through our systems
- Transmit any content that is defamatory, obscene, threatening, or invasive of another's privacy
- Attempt to interfere with, compromise, or disrupt our systems, infrastructure, or the experience of other users
- Use our communication services to harass, abuse, or harm any person
- Violate any applicable local, national, or international law or regulation
- Use our AI-powered services to generate harmful, misleading, or deceptive content
Violation of this Acceptable Use Policy may result in suspension or termination of your access to our services.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- AGE's total liability arising out of or in connection with these Terms or the use of our websites shall not exceed the amount you have paid to AGE in the twelve (12) months preceding the claim
- AGE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
- AGE is not liable for any damages arising from your reliance on information provided on our websites or through our communication channels
- AGE is not liable for any interruption, delay, or failure in the delivery of SMS/MMS messages caused by mobile carriers, network issues, or circumstances beyond our control
Nothing in these Terms excludes or limits AGE's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
10. Indemnification
You agree to indemnify and hold harmless AGE, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your use of our services, or your violation of any rights of a third party.
11. Disclaimers
Our websites and any information provided therein are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. AGE does not warrant that our websites will be uninterrupted, error-free, or free of viruses or other harmful components.
Information on our websites, including case studies, revenue figures, and performance metrics, is provided for informational purposes only and does not constitute a guarantee of similar results for any Client or Partner.
12. Third-Party Services
Our services may integrate with or rely upon third-party platforms and services, including but not limited to RingCentral (communications), cloud infrastructure providers (AWS, Azure, Google Cloud), payment processors, CRM systems, and analytics tools. Your use of third-party services is subject to those services' own terms and privacy policies. AGE is not responsible for the practices or content of third-party services.
13. Governing Law and Jurisdiction
13.1 For UK and European Clients and Partners
Where services are provided through AGE UK Ltd, these Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.2 For US Clients and Partners
Where services are provided through AGE US LLC, these Terms are governed by the laws of the State of Texas, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas.
13.3 For All Other Clients and Partners
For services provided outside the UK and US, the governing law and jurisdiction shall be as specified in the applicable service agreement. In the absence of such specification, the laws of England and Wales shall apply.
14. Dispute Resolution
In the event of a dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of the applicable jurisdiction as specified in Section 13.
15. Termination
We may suspend or terminate your access to our websites and services at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including intellectual property provisions, limitation of liability, indemnification, and governing law.
16. Modifications to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and AGE regarding your use of our websites and services. These Terms supersede any prior agreements or understandings regarding the same subject matter, except to the extent that a specific service agreement provides otherwise.
